5. Intellectual Property
All website content — including text, design, and structure — is the property of Quorient and protected under applicable Singapore intellectual property law. Reproduction without written permission is not permitted.
Deliverables produced under a project engagement (code, models, documentation) are transferred to the client in full upon receipt of final payment, unless otherwise agreed in writing. Quorient retains no ongoing rights to client-specific deliverables after transfer, except as required for legal record-keeping.
Quorient retains rights to generic methodologies, frameworks, and tooling that are not specific to a client's data or domain.
6. Payment Terms
Unless otherwise specified in a project engagement letter:
- NLP Feasibility Review: full payment required before work commences
- Development engagements: 50% upon project confirmation, 50% upon delivery
- Payment is due within 14 days of invoice date
- Late payments may incur interest at the rate of 1.5% per month on the outstanding balance
We accept bank transfer (FAST/GIRO) and corporate cheque. All payments are in SGD.
7. Service Delivery Terms
Project timelines are estimates based on the scope agreed at engagement commencement. Delays caused by the client's failure to provide data, feedback, or approvals on schedule may extend project timelines proportionally. Quorient will notify the client of any material delay and its cause.
Scope changes requested after project commencement will be assessed and, if agreed, documented in a written scope amendment. Additional charges may apply.
8. Confidentiality
Quorient treats all client data and project-related information as confidential. We will not disclose client data or project details to third parties except where required by law or with the client's written consent. A formal confidentiality agreement is available upon request for engagements involving sensitive data.
9. Disclaimers
NLP systems produce probabilistic outputs. Quorient makes no representation that any system we develop will achieve specific accuracy targets in production use after delivery, as performance depends on data quality, operational conditions, and changes to input data distributions over time.
Our website is provided "as is". We do not warrant that the website will be uninterrupted, error-free, or free from viruses or harmful components.
10. Limitation of Liability
To the maximum extent permitted by Singapore law, Quorient's aggregate liability to any client for all claims arising under or in connection with a service engagement shall not exceed the total fees paid by that client for the engagement in question.
We shall not be liable for indirect, consequential, incidental, or special damages, including loss of profits, loss of data, or business interruption, arising from the use of our services or website, whether based on contract, tort, or any other theory.
11. Indemnification
You agree to indemnify and hold Quorient harmless from any claims, damages, or expenses arising from your breach of these Terms, your misuse of our services, or your infringement of any third-party right in connection with data or materials you provide to us.
12. Termination
Either party may terminate a project engagement with 14 days' written notice. In the event of termination, fees for work completed up to the termination date are payable by the client. Deliverables produced up to that point will be provided in their current state.
Quorient may immediately suspend or terminate access to our website for users who breach these Terms.
13. Dispute Resolution
Any dispute arising from or in connection with these Terms or a service engagement shall first be referred to good-faith negotiation between the parties. If not resolved within 30 days, either party may refer the dispute to mediation at the Singapore Mediation Centre. If mediation is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
14. Governing Law
These Terms and any disputes arising from them are governed by the laws of the Republic of Singapore, without regard to its conflict of law provisions.
15. General Provisions
- Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties.
- Severability: If any provision is held invalid, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
